First chapter § Legal areas

Article 1 § COMMERCIAL LAW

(1) SETTLEMENT OF COMMERCIAL DISPUTES AND RECOVERY

Commercial disputes represent a specific type of dispute when both parties are commercial companies, institutions, cooperatives, state or self-governing local communities.

In most cases, such disputes involve high costs; therefore, we strive to provide advice to clients, guide them and settle the dispute amicably to avoid unnecessary costs.

In the case of inevitable dispute, we provide advice to our clients and represent them in all alternative dispute settlements (mediation and arbitration), as well as in court proceedings, and manage recovery procedures for our clients.

(2) CORPORATE LAW

In the framework of corporate law, we strive – according to our clients’ needs – to establish comprehensive and personalised legal assistance within the corporate governance and registry issues.

Within the advisory services, we also provide legal assistance to the control bodies (Management Board, Supervisory Board).

The Law Office is further qualified to represent the interests of shareholders, both majority and minority shareholders, in exercising their corporate rights through General Meetings, as well as judicial proceedings (litigation and non-litigious proceedings).

(3) BANKING AND FINANCIAL LAW

For many years, the Law Office has cooperated in this area with various Slovenian and foreign financial institutions.

Due to many years of experience, we are able to provide our clients with the preparation and drawing up of documents relating to banking and financial transactions, securities, insurance instruments and other financial instruments.

Furthermore, we advise our clients and produce legal opinions relating to banking operations.

(4) INSOLVENCY LAW

The Law Office under the long-serving management of the lawyer and official receiver has extensive knowledge and experience in the field of insolvency law.

Within this field of work, we advise and represent creditors in insolvency proceedings, prepare a proposal for debtors for the commencement of bankruptcy proceedings and a proposal for the remission of obligations for personal bankruptcy, and advise and represent clients in compulsory settlement proceedings (simplified), preventive restructuring proceedings and in liquidation proceedings, as liquidators.

(5) REAL ESTATE LAW

We provide advice to our clients and comprehensive consideration regarding obligations (lease, sale, exchange, deed of gift and other contracts) and real rights (easements, building rights and mortgages) in connection with property.

In this context, we help our clients in obtaining all the necessary permits and approvals and, if necessary, also represent them in litigation, non-litigious, administrative and land registry procedures.

(6) CONSTRUCTION LAW

In the last few decades, construction law has started to develop into one of the independent legal sectors with its own specific role and position in the rapidly growing and market-oriented economy and not just a mere branch of commercial law.

Based on years of experience and expertise, we offer our clients support in concluding legal transactions, which are often very complex and involve long-term coordination between a large number of parties, as well as during the implementation of such legal transactions and in the stage of the conclusion of construction projects.

For our clients’ needs, we verify the legal status of real estate, contracts on the purchase of real estate and contracts on the financing and insurance of real estate, draw up contracts on the creation of easements and other real rights and advise and represent clients in warranty claim proceedings.

(7) MARITIME LAW

Within maritime law, the Law Office provides clients with a so-called “one-stop-shop” in connection with luxury yachts.

For our clients, we prepare and carry out the entire process needed in order to purchase a luxury vessel – we advise in relation to various ways of financing the vessel and security for claims, and carry out the entire registration process in the Republic of Slovenia and abroad according to our clients’ request.

(8) CONTRACT LAW

In the context of contract law, we advise clients during the negotiation stage, prepare a risk assessment and verify their contractual partner’s credit rating.

In the next phase, we draw up all types of contract that best suits the needs and requirements of the contracting parties, and carry out a review of already drawn up contracts.

On behalf of and in the name of the clients, we enforce the rights arising from concluded contracts, both at court and out of court.

Article 2 § LITIGATION PROCEDURES

(1) CIVIL LAW

The Law Office advises its clients and represents them in all areas of civil law (inheritance law, family law, property law, the law of obligations).

For this purpose, it advises, draws up various contracts, and cooperates in negotiations or court proceedings on behalf of the client.

(2) COMPENSATION AND INSURANCE LAW

In the context of compensation law, we help clients obtain full and fair monetary compensation as quickly as possible and with minimal costs.

In respect of claims for compensation, we represent our clients in court and out-of-court procedures.

Article 3 § INTELLECTUAL PROPERTY LAW

(1) INTELLECTUAL PROPERTY LAW

Intellectual property law covers industrial property law (patent, supplementary protection certificate, model, brand and geographical indication) and copyright law.

In this respect, we are qualified to advise clients, natural and legal persons, and prepare all types of contracts, which provide or transfer intellectual property rights, and prepare all the necessary documentation for the successful registration of intellectual property.

In the case of disputes, we offer clients a comprehensive strategy for the protection and enforcement of the rights they are entitled to.

Article 4 § CRIMINAL LAW AND VIOLATIONS

(1) CRIMINAL LAW AND VIOLATIONS

Within criminal law, the Law Office represents both the accused and the injured parties.

The task of the Law Office as the defence counsel for the accused is to establish a balance between the accused, who is often not familiar with the law, and the state represented by the highly qualified Prosecutor’s Office, by which the protection of the fundamental rights of the accused is ensured under criminal law.

We represent the accused in all stages of criminal proceedings.

In criminal proceedings, the Law Office also represents the injured party, in particular with filing indemnification claims, criminal complaints, private actions, and not least representing the injured party as a prosecutor.

In the context of misdemeanours law, the Law Office, on behalf of clients, files objections against payment orders, requests for judicial protection and represents the accused in hearings, and files ordinary and extraordinary legal means for clients.

Article 5 § LABOUR LAW AND SOCIAL SECURITY

(1) LABOUR LAW AND EMPLOYMENT LAW

Due to our broad area of work and highly qualified personnel, we provide our clients with a wide range of support irrespective of the complexity of the area.

We offer employers an overview or composition of labour instruments, the implementation of disciplinary procedures and the termination of employment contracts (individually or for a large number of workers) and representation in court, arbitration and other proceedings.

We manage and advise workers in connection with monetary claims, the termination of the employment relationship, disciplinary procedures and violations of other employment rights.

Furthermore, we represent workers in procedures concerning requests for judicial protection in the case of the unlawful termination of employment contracts and other cases of termination of the employment relationship or the violation of other labour rights.

Article 6 § ADMINISTRATIVE LAW

(1) ADMINISTRATIVE LAW

Administrative law governs the relationship between the bodies or organisations with public authorities and other entities without such authority.

We have successfully represented our clients in the procedures for obtaining building permits, inspection procedures, tax procedures, expropriation proceedings and proceedings for the determination of citizenship.

In the case of a violation of rights by public authorities or their unprofessional approach and case solving, we file actions for our clients in an administrative dispute.
